NOTICE OF INTENT TO SUBSCRIBE FOR COMPANY SHARES

Subject to Article 4 (4.1) of Share Subscription Agreement, I/We wish to set the Completion date to be on ___________________________________ (Completion date should be within twenty-one (21) days from the date of this notice but no earlier than three (3) business days), or any other date as shall be mutually agreed upon between the company and the shareholder, whichever is earlier.

4.3 Completion obligations of Company

On the Completion Date, the Company must:

(a) deliver to the Investors evidence that its directors have resolved (whether at a duly convened and quorate board meeting or by way of circulating resolution) that, subject to receipt by the Company of the Subscription Moneys for the Subscription Shares:

i. the Company issues to each Investor its Subscription Shares fully paid and free from any Security Interests;

ii. the Company enter the name of each Investor in the Company’s register of members as the holder of its Subscription Shares; and

iii. the Company issues a share certificate to each Investor for its Subscription Shares;

ARTICLE 4: INFORMATION

4.1. Basic financial information

The Company will provide promptly to each Major Investor:

(a) Annual unaudited financial statements for each Financial Year, including an unaudited balance sheet as of the end of such Financial Year, an unaudited statement of operations and an unaudited statement of cash flows of the Company for such year, all prepared in accordance with generally accepted accounting principles and practices.

(b) Quarterly unaudited financial statements for each quarter of a Financial Year of the Company (except the last quarter of the Company’s Financial Year), including an unaudited balance sheet as of the end of such quarter, an unaudited statement of operations and an unaudited statement of cash flows of the Company for such quarter, all prepared in accordance with generally accepted accounting principles and practices, subject to changes resulting from normal year-end audit adjustments.

(c) Prior to the commencement of each Financial Year, the proposed annual business plan together with an operating and capital expenditure budget of the Company as approved by the Management Board.

Section 2: Board Role and Responsibilities

The members of the Board are elected by the Corporation's shareholders to use their business judgement to direct, provide counsel and oversee the management of the Corporation in the best interests of the Corporation and its shareholders. The Board recognizes that the interests of the Corporation's shareholders are advanced by also considering and responsibly addressing the concerns of other stakeholders, including employees, customers and the broader public and communities in which the Corporation operates, thereby enhancing the long-term value of the Corporation.

2.1 CASH COMPENSATION

2.1.1 Retainers for Serving on the Board

Each Eligible Director shall be paid an annual cash retainer of USD.50,000.00 or KSH.6,460,000.00, payable in quarterly installments on the first day of each quarter in advance of the service for such quarter (or as soon as practicable thereafter), for each year of his or her service on the Board (each a “Service Year”) Service year will commence on the date of the Corporation’s Annual Meeting of Shareholders each year. In addition to the regular retainer for serving as a member of the Board, an Eligible Director who serves as Lead Independent Director/Board Chairman of the Board beginning on or after the Effective Date shall be paid an annual cash retainer of USD.150,000.00 or Ksh.19,380,000.00, for service in such role for each Service Year, payable in quarterly Installments on the first day of each quarter in advance of the service for such quarter (or as soon as practicable thereafter)
