a. Gamezon Space Corporation, A Private Company incorporated in Kenya, under Companies Act 2015, with its Registered Head Office located at the BRICK, Thindigua, along Kiambu Road, and the Parent Company of GHIF Company, and EXPAY Corporation hereby announce the start of issuance of the Shares, effective from 25th January, 2026 and from time to time, as Share Issuance may be required and approved by the Board and the Company Shareholders.

The Company will issue Share in any of the following ways;
(i)  Private Placement - where shares will be offered to selected individuals and entities,
(ii) Rights Issue – where shares are offered to existing shareholders in proportion to their current holdings,
(iii) Preferential Allotment – where shares are offered to a special group by passing a special resolution, and
(iv)  ESOP/Sweat Equity – where shares are offered to Directors and Employees as part of Compensation.

b.    The Company will issue shares for any one or combination of two, or any of the following reasons:
(i)   For the Purpose of raising the Capital to facilitate the Operations of the Company,
(ii)   To raise capital to acquire a competing business,
(iii)  Raise Capital to Acquire a new asset,
(iv)  Onboard new Investors,
(v)   Partner with another existing company,
(vi)  Raise Capital to expand operations,
(vii) Raise Capital to enter new markets.

c.     The Company share issuance is in accordance with the Kenya Companies Act 2015, Section 328, Section 329, and Section 330, Articles of Association, Part V, Shareholder Agreement and Capital Markets Authority (CMA) Regulations 2021, Chapter 6.

Company Legal Framework for Issue and Transfer of Shares
The Issue and Transfer of Share is governed by:
i.  The Companies Act, 2015
ii.  The Company’s Articles of Association
iii. The Shareholder Agreement
iv.  The Capital Markets Authority – CMA Regulations, 2021
v.  The Stamp Duty Act (Cap. 480).

While the Company's Articles of Association restricts the Company from inviting the Public to buy or acquire the Company Shares, we are committed to operate within such legal limits and regulatory framework, by providing all the disclosures to the extent permitted by the Law under the Companies Act, 2015, Company's Articles of Association and Capital Markets Authority - CMA Regulations 2021 to ensure Shareholder Rights and Protection.

Therefore, the Company will accept the investor Applications to become Company shareholders to a limit of 50 Shareholders at any given time, as required by the Law.
